Corporate Transactions Attorney – South Florida

Overview:

A well-established, full-service law firm based in Florida is seeking a talented and self-driven Corporate and Business Transactions Attorney with 6–15 years of experience to join its Corporate Practice Group in South Florida . This is an excellent opportunity for attorneys with a strong transactional background who are seeking a collaborative, client-focused, and growth-oriented legal environment.

About the Firm:

The firm’s Corporate Practice Group advises clients across a wide range of industries on sophisticated business and financial transactions, including mergers and acquisitions, private equity investments, joint ventures, and corporate governance matters.

This role involves direct client engagement and hands-on work in complex corporate structuring, including partnerships, limited liability companies, and joint ventures. Experience in data privacy, cybersecurity, exempt organizations , or corporate tax is highly valued.

Key Responsibilities:

• Advise clients on all aspects of corporate and business transactions
• Draft, negotiate, and review a variety of transactional documents, including: Operating, shareholder, and partnership agreements, Stock and asset purchase agreements, Licensing, employment, and governance documents.
• Manage matters involving private placements, mergers & acquisitions, and joint ventures
• Conduct in-depth legal research and provide strategic, practical legal counsel
• Collaborate with internal teams and external professionals to support efficient transaction execution

Qualifications:

• Juris Doctor (JD) from an accredited law school
• Member in good standing of the Florida Bar
• 6–15 years of relevant experience in corporate and business transactions
• Demonstrated expertise in: Corporate structuring and governance, Drafting and negotiation of complex contracts, Private placements, mergers & acquisitions, and asset deals
• Strong research, analytical, and communication skills
• Ability to lead and mentor junior attorneys and staff
